1. Introduction
These terms of service (“Terms”) govern your use of the ClearCode Digital website and services. By accessing our website, you agree to be bound by these Terms.
2. Services
ClearCode Digital provides custom website development, application development, software development, and mobile app development services. All services are subject to individual project agreements.
3. Intellectual Property
Upon full payment, clients receive complete ownership of all custom code, designs, and assets created specifically for their project. Pre-existing frameworks, libraries, and open-source components remain under their respective licences.
4. Project Agreements
Each development project is governed by a separate project agreement or statement of work that outlines scope, timeline, deliverables, and payment terms. These project agreements supplement these general Terms.
5. Payment Terms
Unless otherwise agreed in a project agreement, our standard payment structure is: 30% upon project commencement, 40% at project midpoint, and 30% upon completion. All invoices are payable within 14 days.
6. Confidentiality
We treat all client information, business processes, and project details as confidential. We will not disclose your information to third parties without your consent, except where required by law.
7. Limitation of Liability
To the maximum extent permitted by law, ClearCode Digital's total liability for any claim arising from our services shall not exceed the total fees paid for the relevant project.
8. Warranties
We warrant that our services will be performed with reasonable skill and care. All projects include a 30-day warranty period after delivery during which we will fix any defects at no additional cost.
9. Termination
Either party may terminate a project agreement with 14 days written notice. Upon termination, the client will pay for all work completed to date and receive ownership of all completed deliverables.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
11. Changes to Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date.
